Terms and Conditions of Global iTech Systems Ltd (Canadian Real Estate Web Master)

These terms and conditions govern the relationship between Global iTech Systems Ltd (referred to as “Contractor” or “we”) and clients of Global iTech Systems Ltd, including clients of Canadian Real Estate Web Master (referred to as “Client” or “you”). By engaging our services, whether with or without a formal contract, you automatically agree to these terms and conditions. Please read them carefully before proceeding.

1. DESCRIPTION OF SERVICES: The Contractor will provide website services to the Client, including website design, web development, SEO, web hosting, domain registration, graphics, and design (collectively, the “Services”) in a professional and timely manner. Any changes to the scope of the Services must be documented in a written change order, signed and dated by both parties. The Client is fully responsible for the contract upon signing, and any disputes regarding the scope of work must be communicated in writing via email. Oral orders or telephone discussions do not hold weight under these terms and conditions. If the Contractor claims work is “out of scope” as per the provided scope of work (Appendix A), the Client agrees to pay a separate invoice for such work.

2. DESIGN TEAM: The Contractor will assign qualified personnel (the “Design Team”) to provide the Services. The Contractor reserves the right to make changes to the Design Team, providing prior written notice and a reasonable explanation for the change. The Client agrees to review the completed website within 2 weeks of delivery, and the Contractor assumes no responsibility after this period. The Client acknowledges that they are responsible for the originality and accuracy of the text, images, and videos provided for the website.

3. WEBSITE GO LIVE & SIGN-OFF: Upon completion of the project within the agreed timeframe, the website will enter the “go-live” stage and be fully rolled out live on the Client’s domain name. The Client agrees to project closure and sign-off. Global iTech Systems Ltd (Canadian Real Estate Web Master) offers 90 days of free support for unforeseen bug fixes and problems related to the project. If the Client signs up for the yearly maintenance plan (with a $90.00 monthly fee), the Contractor will provide 3 hours of work per month. Unused hours do not carry over.

4. PAYMENTS: The Client agrees to pay the Contractor according to the payment schedule and terms set forth and agreed upon. The Client is responsible for renewing the domain and hosting fees before their expiration dates. The Contractor is not liable for any consequences resulting from the Client’s failure to renew domain or hosting services. The Client agrees to pay a minimum of $200.00 yearly for hosting renewal and a $90.00 monthly web maintenance fee to keep the website live. Failure to make payment may result in the Contractor engaging a collection agency to collect domain, hosting, and website maintenance fees. Additional fees may apply for email management on a monthly basis.

5. OWNERSHIP RIGHTS: The Client retains ownership of their proprietary information, including all source code, documentation, design concepts, graphics, content, domain names, and characters used in the Services. Upon request, the Contractor will deliver these materials to the Client. The Contractor retains ownership rights to any programming code developed for its own use (referred to as “Contractor’s Prior Code”) but grants the Client and its users a perpetual, non-exclusive license to use Contractor’s Prior Code.

6. CONFIDENTIALITY: The Contractor agrees not to use or disclose any proprietary information of the Client, including trade secrets, know-how, and confidential information. The Contractor will treat such information as strictly confidential and protect it accordingly.
